Terms of Service

1. Acceptance of Terms

By accessing or using the OnSpec platform and services ("Services") provided by OnSpec AI, Inc. ("OnSpec," "we," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Description of Services

OnSpec provides an AI-powered platform for analyzing construction plans, identifying potential issues, cross-referencing building codes, and facilitating collaboration among project stakeholders. The Services include plan analysis, finding management, reporting, and integration tools.

3. Accounts

You must create an account to use the Services. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate and complete registration information and keep it updated.

4. Subscriptions & Payment

Paid plans are billed monthly or annually as selected. Prices are subject to change with 30 days notice. Refunds are handled on a case-by-case basis. You may cancel your subscription at any time through your account settings; access continues through the end of the billing period.

5. Your Content

You retain ownership of all plans, documents, and data you upload to the Services ("Your Content"). By uploading content, you grant OnSpec a limited license to process, analyze, and store Your Content solely for the purpose of providing the Services. We may use aggregated, anonymized data derived from Your Content to improve our AI models.

6. AI Analysis Disclaimer

OnSpec's AI analysis is provided as a supplementary tool and does not constitute professional engineering, architectural, or legal advice. Findings generated by OnSpec should be reviewed by qualified professionals. OnSpec does not guarantee that all issues will be detected or that all findings are accurate. Users are responsible for verifying findings and making final decisions about their projects.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Attempt to reverse engineer, decompile, or extract our AI models or algorithms
• Share account credentials or allow unauthorized access to the Services
• Interfere with or disrupt the Services or servers
• Use automated means to access the Services except through our published APIs

8. Limitation of Liability

To the maximum extent permitted by law, OnSpec shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the amount you paid for the Services in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless OnSpec and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. Upon termination, you may request export of Your Content for 30 days, after which it may be deleted.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or through the Services at least 30 days in advance. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.
